Terms of Service

You must be at least 18 years old to use the Platform. By using the Service, you represent and warrant that you:

• Are at least 18 years old
• Have legal authority to enter these Terms
• Will comply with applicable laws

The Platform provides:

• Secure media storage
• Streaming delivery
• Downloadable distribution
• Payment-gated unlocking
• Public/private share links
• Role-based collaboration
• Review tools
• Subscription storage tiers

We may modify or discontinue features at any time.

You agree to:

• Provide accurate information
• Maintain credential security
• Accept responsibility for account activity

We are not liable for unauthorized access caused by your failure to secure your account.

If you access the Platform via a team or organization:

• The account owner/admin controls workspace access, roles, permissions, and deletion/export settings.
• Your content within that workspace may be accessible to admins.
• Maintain independent backups if you require sole control.

5.1 Ownership

You retain ownership of uploaded content.

5.2 License to Operate

You grant PictureLock a limited license to host, store, encode, stream, display, and deliver content solely to operate the Service.

5.3 Responsibility

You are responsible for rights clearance, releases, and legal compliance.

You control link distribution. Public links may allow unrestricted access depending on configuration. We are not responsible for third-party redistribution.

7.1 Payment Processing

Payments are processed by third-party processors (e.g., Stripe). By providing payment details, you authorize charges as described at checkout or triggered by your actions.

7.2 Subscription Terms

Subscriptions may include storage caps, streaming thresholds, and usage limits. Fees are billed recurring unless stated otherwise.

7.3 Click-Triggered Payment Authorization

By clicking “Unlock,” “Unlock & Pay,” “Download,” or similar controls, you authorize:

• Immediate charging of your stored payment method
• Release of gated digital content
• Execution of the transaction without further authorization

Your click constitutes binding payment consent and an electronic signature.

7.4 Invoices & Receipts

Invoices may reflect digital delivery access. Payment confirmation and access logs may serve as delivery records.

7.5 Transaction Pricing, Processing Fees & Platform Fees

PictureLock facilitates payments between clients and contractors using third-party processors.

(a) Contractor Pricing

Contractors set deliverable pricing (“Contractor Price”). This represents the amount intended to be received for the deliverable.

Where technically feasible, contractors receive the full Contractor Price, subject to processor mechanics, disputes, or adjustments.

(b) Processing Fees

Transactions may incur processor fees depending on payment method, including:

• U.S. cards
• International cards
• ACH transfers
• FX conversions
• Instant payout requests

Processor fee schedules are controlled by the payment provider and may change at any time.

(c) Platform Fee

PictureLock does not currently charge a platform service fee. PictureLock reserves the right to introduce a platform fee in the future with reasonable notice reflected in UI disclosures.

(d) Client Payment Calculation

Clients may be charged a total amount inclusive of:

• Contractor Price
• Processing Fees
• Platform Fee (if applicable)

By completing payment, the client authorizes the full displayed amount.

(e) Pricing Engine

PictureLock utilizes automated pricing infrastructure (“Pricing Engine”) that calculates:

• Processor fees
• FX fees (if applicable)
• Payout acceleration fees
• Platform fees (if applicable)
• Contractor settlement amounts
• Total client charge

Calculations may vary based on payment method, geography, currency, and payout configuration.

(f) Payment Flow Structure

Typical flow:

1. Contractor sets price
2. Client views pricing breakdown
3. Client authorizes payment
4. Processor collects funds
5. Contractor receives Contractor Price
6. Platform retains service margin (if applicable)

(g) UI Fee Disclosure

Prior to payment, clients may see:

Completion of payment confirms acceptance of this pricing structure.

(h) Fee Modifications

PictureLock reserves the right to introduce or modify fee structures at any time with reasonable notice reflected in UI disclosures.

Delivery occurs once access is granted, regardless of viewing duration.

All digital purchases are final once delivered.

Unlock-triggered access constitutes completed delivery.

Initiating a chargeback after delivery constitutes breach of these Terms.

We may:

• Suspend accounts
• Revoke access
• Recover dispute costs
• Submit evidence logs
• Pursue legal remedies

We maintain logs including payment records, IP data, unlock confirmations, and stream access.

We may throttle, restrict, or suspend excessive usage that strains infrastructure.

We are not a permanent archive. Content may be deleted after 30 days' notice for unpaid or terminated accounts.

We do not guarantee uninterrupted availability. Outages and maintenance may occur.

We use commercially reasonable safeguards but cannot guarantee absolute security.

Prohibited uses include infringement, scraping, fraud, reverse engineering, or paywall circumvention.

Beta or trial features may be unstable and are provided “as is.”

You grant us a royalty-free license to use submitted feedback.

We rely on third-party providers and are not liable for their failures or outages.

You represent compliance with applicable sanctions and export laws.

19.1 Notice of Claim

Disputes require prior written notice and a 60-day resolution window.

19.2 Binding Arbitration

Disputes are resolved via binding arbitration in California (JAMS).

19.3 Small Claims Exception

Eligible claims may proceed in small claims court.

19.4 Class Action Waiver

Claims must be brought individually.

19.5 Arbitration Opt-Out

Users may opt out within 30 days via written notice.

Liability is limited to fees paid in the prior 12 months.

You agree to defend, indemnify, and hold harmless PictureLock from claims arising from:

• Your content
• Misuse of the Service
• IP, privacy, or publicity-right claims
• Fraudulent disputes/chargebacks
• Violation of law or these Terms

We may suspend or terminate accounts for violations, abuse, fraud, or non-payment.

We may provide notices via email, in-app messages, or posting on the Platform.

You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.

We are not liable for failure or delay due to events beyond our reasonable control.

We may update these Terms at any time. Continued use constitutes acceptance.

These Terms are governed by the laws of the State of California.
